SERVICE AGREEMENT

THIS FRANCHISE AGREEMENT is made and entered into at Mumbai on this

M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD

its business office at Shop no 21, Plot No 62, Ghrakul CHS LTD, Gorai No 1, Nr

Swami Vivekananda School, Borivali West, Mumbai 92 , Maharashtra, India

(Hereinafter called “THE FIRM”).

AND Ms/Mr/Smt/Miss,________________________ aged_____years, residing at -

WHEREAS:-

a) The FIRM has been carrying on business in the name and style of

b) The FIRM is the registered owner of

‘‘M/s. GURUKRUPA PLACEMENT &

EDUCATION SOLUTIONS PVT LTD” as referred to the above.

c) Pursuant to the discussion between the parties, the FIRM wishes to appoint the

FREELANCER of the business___________________________ under the name
and style of

‘‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS

PVT LTD”

IT IS HEREBY AGREED AND RECORDED AS FOLLOWS:-

The FIRM hereby appoints the FREELANCER for the business in the name
and style of

‘‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS

PVT LTD”.

The initial period of the present Freelancer shall be for a period of
commencing from__________ and expiry on__________(till GuruKrupa live).
If not terminated after expiry of the above period, by the mutual understating
both the parties this agreement may be extended for further period with the

same process, with condition that, Profit sharing ratio, compensation amount
can be revised as per firm policy at that time.

The FREELANCER have paid to the FIRM a lump sum advertisement amount
of Rs.__________(Rupees___________________________________Only),
by cheque (________), Dated__________, Bank__________________as the
compensation not refundable.

The FREELANCER will at no time claim any right, title and interest on the
name of ‘‘M/s. GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS
PVT LTD” as same is the exclusive ownership of the FIRM.

It  is  agreed  by  both  parties  that  agreement  will  be  cancelled or  terminated  if
the FREELANCER fail to pay compensation of the  FIRM within week time or
as  decided  in  agreement.  Without  payment  receipt  (bank  statement)  this
agreement will not be valid.

The FIRM has liberty to terminate this FREELANCER agreement immediately
in event of breach of contract or illegal activities of the business. In case of
termination / cancellation of FREELANCER agreement compensation paid by
FREELANCER will not be refundable.

Either of the party wishing to put an end to this Service Agreement earlier
shall have to give a notice at least Two month in advance for such
termination. In case of termination / cancelation of FREELANCER agreement
during agreement period the compensation paid by FREELANCER will not be
refundable.

The FIRM shall transfer net expected fee / duration of the received amount to
the  FREELANCER  for  their  provided  services.  The  FIRM  shall  pay  the
amount to the FREELANCER on the completion of the last day of the month &
as  per  attendance,  &  as  per  received      through  cheque  or  net  banking,  (on
payment  received)

, on the name of ‘‘M/s. GURUKRUPA PLACEMENT &

EDUCATION SOLUTIONS PVT LTD”.

FREELANCER authorised and responsible to follow up with Students for
cheque/NEFT of their provided services with the name of GuruKrupa
Placement & Education Solutions Pvt Ltd.

10.

The FIRM shall not be responsible if The Students fails to pay, Student not
comes as per expectations..

11.

Both the parties agreed that business information should be confidential.

12.

It is mutually agreed between the parties that Freelancer shall not
publish/print/advertisement in newspaper or online/face book in whatsoever
manner against the FIRM.

13.

The FREELANCER

shall not use the name ‘‘M/s. GURUKRUPA

PLACEMENT & EDUCATION SOLUTIONS PVT LTD” for any illegal or
unlawful purpose nor shall he part with the franchise / facility to any other
person/s or third party in any manner whatsoever.

14.

The FIRM shall not be responsible for any omission or commission to commit
by the FREELANCER.

15.

FREELANCER shall have to follow the local laws while working under

‘‘M/s.

GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD”. FIRM
shall not pay any penalty for illegal / unlawful activities carried out by
FREELANCER.

16.

In case Freelancer gate zero students, Firm will provide entire payment
return within a month from our pocket.

17.

Freelancer will get payment of {net expected fee to be received / duration of
course} on every end of the month and as per the attendance & recived
amount.

Marketing agency taking minor ___% charges for follow up with lead &
provide us ready leads in our hand..

19.

On our particular course students demand, marketing agency analysis as per
Course, fee, location, market rate etc, and , marketing agency intimate us
before the payment

– how many students they can search for us, what will be

fee range for it, how much % for lead follow up charges etc they taking.

20.

Pursuant to the discussion between the parties, the Firm wishes to appoint
the FREELANCER of the business in India under the name and style

‘‘M/s.

GURUKRUPA PLACEMENT

& EDUCATION SOLUTIONS PVT LTD” for

betterment of business with good intention. In case, if FREELANCER by any
reason does not get result as per his/ her expectation, for that

‘‘M/s.

GURUKRUPA PLACEMENT & EDUCATION SOLUTIONS PVT LTD” will not
be made responsible.

21.

Guru Krupa free to take help of more than one marketing agency or other
source to find student on within same price.

22.

In the event of any disputes and differences between the parties, the courts at
Mumbai alone shall have jurisdiction to try and entertain the same.

23.

I have read entire content of the FREELANCER Agreement, and I agreed that
content  written  in  the  Agreement  will  only  be  followed.  There  will  be  no
dispute/Claim  in  future  on  compensations  paid  to  ‘‘M/s.  GURUKRUPA
PLACEMENT  &  EDUCATION  SOLUTIONS  PVT  LTD”  at  the  time  of
Agreement.
